WHISTELBLOWING

Stoll Italia srl envisages the possibility, in compliance with Legislative Decree 24 of 10 March 2023, for employees, partners, company staff, third parties collaborating with the company (such as freelancers and consultants), to report, also in the form of anonymous conduct, offences and/or violations, through an online platform that allows for concrete justification of the report.

The objective of adopting this tool is to prevent the creation of non-compliance or irregularities within the organisation, but also to involve all stakeholders in an activity to combat
illegality, through active and responsible participation. Communications relating to commercial activity (e.g. complaints on invoices, billing, etc.) should, on the other hand, be channelled through the customer service tools provided for this purpose.

Without prejudice to the preferential use of the signalling channels made available by Edison, in the cases peremptorily indicated pursuant to Article 6 of Legislative Decree No. 24 of 10 March 2023, it is also possible to report to the competent authority (ANAC)

 

REPORTING MODALITIES
The reporting path can be accessed through the online platform, which is suitable for ensuring the confidentiality of the reporter’s identity by computerised means. Reports are received by the (Responsible) Reporting Management Body (the ‘Recipient’), which issues the reporter with an acknowledgement of receipt of the report within seven days from the date of receipt; maintains conversations with the reporter; follows up the report; and provides feedback within three months from the date of acknowledgement of receipt of the report.

In addition, the whistleblower has the option of choosing to make the report orally, with a face-to-face meeting, following an express request made in accordance with the instructions contained in the online platform.

The report is handled in accordance with the principles of confidentiality and the identity of the reporter, if any, is not disclosed without his or her consent. Any personal data present are processed in compliance with current privacy legislation and kept for the period of time strictly necessary for the management of the report. If the report is relevant for the purposes of Legislative Decree no. 231/2001 – integrating the same with a violation of the Model 231 or the Code of Ethics and/or one of the offences provided for in Decree 231 – the Recipient shall immediately notify the Stoll Italia Supervisory Board. The Supervisory Board, in compliance with the principles of confidentiality and/or anonymity of the reporter, will cooperate in the assessment and management of the same.

 

WHY DENOUNCE
Employees or others are often in a position to become aware of non-conformities or irregularities that the company fails to detect in a timely manner, which is why it is important that they have the opportunity to check and, if necessary, correct such anomalies.

 

PROTECTION OF THE DELEGATOR
The Company protects the whistleblower against threats, retaliation and/or discrimination as a result of the report made.

PROTECTION OF THE REPORTED PERSON
In the course of investigating and ascertaining any unlawful conduct and/or violations, reported persons may be involved in such activity, but under no circumstances will sanction proceedings be initiated against them solely on account of the report, in the absence of concrete evidence of its content. This may possibly take place on the basis of other evidence found and ascertained from the report itself.
